Mark E. Yonan
Mr. Yonan has a national law practice specializing in a range of
real estate, finance, leasing, settlement service, general business
and corporate matters, including:

Representing real estate companies, real estate developers and
commercial real estate buyers and sellers in a wide variety of
standard and complex real estate, corporate and general business
transactions.

Representing business entities for general business and corporate
matters including formation, shareholder/ownership agreements, asset
purchase agreements, purchase and sale of ownership interests and
dissolution.

Representing landlords and tenants for standard and complex
commercial leasing matters.

Representing mortgage banks, mortgage brokers, state and
federally-chartered banks, thrifts, real estate brokers, title
insurance companies, general insurance companies, settlement service
providers and other financial institutions in connection with their
corporate, regulatory, compliance, licensing, joint venture,
employment, contract and general legal matters.

Reviewing and analyzing proposed settlement service business plans,
and drafting the related agreements and disclosures, based upon
applicable federal and state laws, regulations and rules, such as
the Real Estate Settlement Procedures Act (“RESPA”), the
Truth-in-Lending Act, the Equal Credit Opportunity Act, the Fair
Credit Reporting Act, the Fair Housing Act, state licensing laws,
consumer credit laws, usury laws, unfair and deceptive trade laws
and real property laws.

Negotiating and drafting a variety of agreements for mortgage
originators including (i) loan broker, loan correspondent and whole
loan purchase agreements, (ii) correspondent agreements, (iii)
affiliate branch agreements, (iv) services agreements, (v)
employment agreements, (vi) servicing rights purchase and sale
agreements, (vii) repurchase agreements, (viii) reverse purchase
agreements, and (ix) warehouse lines of credit agreements.
Representative Cases and Clients

Prior to founding the Firm, Mr. Yonan was in-house counsel for one
of the nation's largest privately-owned financial institutions, with
responsibility for managing the corporate leasing and joint venture
legal departments and advising executive management on a full range
of legal, regulatory and compliance issues.
Mr. Yonan has negotiated, documented and closed the purchase and
sale of numerous low and high rise commercial buildings in Arizona.
Mr. Yonan has negotiated, documented and closed numerous multi-acre
raw land transactions on behalf of purchasers and sellers.
Mr. Yonan has negotiated, documented and closed numerous
multi-million dollar purchases and sales of business assets and
ownership interests.
Mr. Yonan negotiated and documented commercial leases for 200+
corporate office locations across the nation and implemented a
leasing protocol for all corporate lease matters.
Mr. Yonan has negotiated and drafted joint venture documents, formed
joint venture entities and handled all legal, compliance and
licensing questions for joint ventures between a national mortgage
bank and its real estate, builder, insurance and mortgage partners.
Mr. Yonan trained, advised and counseled corporate settlement
service personnel and executive management regarding RESPA, state
licensing, HUD/FHA licensing and regulations, and other state and
federal laws related to the mortgage, title, real estate, insurance
and credit service industries.

Personal

Mark was born in Hanover, New Hampshire and raised in Central
Illinois. Mark met his wife, a native Tucsonan, in Chicago and moved
to Tucson with her in 1997. In his spare time, Mark enjoys running,
golf and spending time with his family.

Recognition

Mr. Yonan has a BV rating from Martindale Hubbell.
Mr. Yonan received the Outstanding Leadership Award from the Arizona
State Bar Real Property Section in 2006.
Mr. Yonan received an Appreciation Award from the Red Cross of
Southern Arizona in 2005 for his pro bono representation of the Red
Cross for its purchase of a new headquarters building in Tucson.
Mr. Yonan has served as a Board Member of the Boys and Girls Clubs
of Tucson (2002-2005) and the Cystic Fibrosis Foundation
(2005-2006).
Mr. Yonan has also been a student mentor at the University of
Arizona James E. Rogers College of Law, and has volunteered as a
tutor at Duffy Elementary School in the Tucson Unified School
District.

Mr. Yonan is a member of the State Bar of Arizona (Real Estate and
Business Law Sections.), the Pima County Bar Association, and the
Real Estate Service Providers Council (“RESPRO”).
Mr. Yonan served as the President of the Real Estate Section of the
State Bar of Arizona from 2005-2006 and as an Executive Council
member of the Real Property Section from 2002-2006.
