Nathan C. Wright
Mr. Wright has a national law practice focused upon representing
financial institutions, real estate developers, settlement service
providers, and other business entities on a broad range of finance,
real estate, general corporate and regulatory compliance matters,
including: drafting and negotiating loan documents; drafting and
negotiating agreements central to mortgage originators; providing
counseling and advice regarding federal and state regulatory
compliance issues; drafting and negotiating documents for the
conveyance and leasing of real property; forming and structuring
legally-compliant joint ventures and other relationships between and
among settlement service providers; forming and structuring the
ownership, management and other aspects of business entities; and
drafting and negotiating a wide variety of agreements evidencing
corporate and commercial understandings. He also represents
creditors in enforcing, collecting and restructuring financial
transactions.
Prior to founding the Firm, Mr. Wright previously served as Deputy
General Counsel for one of the nation’s largest privately-owned
financial institutions, with responsibility for managing the
corporate transactional legal department and advising executive
management on a full range of legal, regulatory and compliance
issues. Mr. Wright also gained invaluable experience as an associate
in both the Phoenix and Tucson offices of Snell & Wilmer L.L.P.
Representative Transactions

Representation of financial institutions and borrowers in
structuring, negotiating and documenting commercial and real estate
financing transactions, including acquisition and development
financing, construction lending, asset-based lending, purchase money
financing, permanent loans, and warehouse lending. Mr. Wright has
negotiated and documented commercial loans on behalf of virtually
all of Arizona’s largest lenders, including Bank of America, JP
Morgan Chase, Compass Bank, National Bank of Arizona, and Alliance
Bank of Arizona. Mr. Wright has assisted in the documentation of
over a billion dollars worth of commercial loans, including the
following significant transactions:

Representation of a national bank regarding a $450,000,000
asset-based loan to a global technology service provider;

Representation of a national bank regarding a $150,000,000
acquisition and development loan for a retail shopping center in
Metropolitan Phoenix; and
-
Representation of a national bank regarding a $125,000,000
construction loan for a high-rise office building in Downtown
Phoenix.
Representation of financial institutions regarding regulatory and
supervisory issues central to depository and non-depository lending
institutions.
Representation of financial institutions structuring, negotiating
and documenting the agreements central to mortgage originators,
including residential and commercial broker agreements,
correspondent agreements, and affiliate branch manager employment
agreements. Mr. Wright also has negotiated billions of dollars worth
of mortgage loan purchase agreements, repurchase agreements, reverse
repurchase agreements, and warehouse line of credit agreements with
large institutional lenders and investors, such as Wells Fargo, UBS,
Merrill Lynch, Washington Mutual, Bear Stearns and Countrywide
Financial Corp.
Representation of business organizations on a broad spectrum of
general corporate, finance, commercial and regulatory compliance
matters, including the representation of an international
distribution company, a national credit services company, and some
of Tucson’s largest title insurance agencies, real estate brokers,
mortgage lenders and general insurance agencies.
Representation of clients regarding the purchase and sale of real
property, commercial and retail leasing, and zoning and land use
matters.
Representation of settlement service providers regarding the
formation and operation of legally-compliant joint ventures and
other business relationships. Mr. Wright has successfully negotiated
and documented numerous joint ventures and other agreements between
and among mortgage lenders, title insurance agencies, home builders,
real estate brokers, and general insurance agencies.

Personal

Mr. Wright was born in New Prague, Minnesota and grew up in Iowa. He
has traveled extensively, traveling around the world with his wife
in 2003-2004.

Mr. Wright has maintained an active pro bono

representation of clients in real estate, litigation and debt
collection matters. Mr. Wright is also a past Board Member of the
Valley of the Sun YMCA.
